Software License Review

Almost all businesses need software to run their operations

Many smaller companies manage with “off the shelf” commercial software, such as Microsoft Office. However, most businesses today require software developed specifically for their businesses, or need extensive customization for integration with existing business systems, such as accounting or human resource software.

   

Software companies start with standard and often lengthy license agreements that are time-consuming to review and difficult for non-specialized lawyers to negotiate. A license agreement provides a software user (licensee) with certain rights to use the product, but comes with a number of assurances as well as restrictions and attendant penalties.

   

Substantive issues that must be considered in any licensing relationship may include data security and back-up protocols, indemnification obligations triggered by third-party infringement claims, and termination provisions — including protecting the ability of a licensee to transition to a new vendor with its data intact.
